Terms of Service

Acceptance

By accessing or using Ascend, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the platform.

Definitions

  • "Platform" refers to the Ascend web application and all related services.
  • "User" refers to any individual who creates an account on the Platform.
  • "Coach" refers to a User who uses the Platform to create training programs and manage athletes.
  • "Athlete" refers to a User who uses the Platform to follow training programs.
  • "Content" refers to any data, text, images, videos, or other materials uploaded to the Platform by Users.
  • "Service" refers to all features and functionality provided by the Platform.

Eligibility

You must be at least 18 years of age to use Ascend. By using the platform, you represent and warrant that you meet this age requirement.

Account Responsibilities

When you create an account on Ascend, you agree to:

  • Provide accurate and complete information during registration
  • Keep your password secure and confidential
  • Maintain only one account per person
  • Notify us immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account.

Service Description

Ascend is a coaching platform designed for creating and managing training programs, video analysis, and athlete management. The platform enables coaches to build structured programs and collaborate with their athletes.

Privacy

Your use of Ascend is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. The Privacy Policy forms an integral part of these Terms of Service. By using the Platform, you consent to the data practices described in the Privacy Policy.

Coach-Specific Terms

Coaches using Ascend are independent professionals. They are solely responsible for:

  • The relationship with their own clients and athletes
  • The accuracy and safety of training programs they create
  • Any content they upload to the platform
  • Compliance with applicable laws and regulations in their jurisdiction

User Content

Users retain full ownership of any content they upload to Ascend. By uploading content, you grant Ascend a non-exclusive, worldwide license to host, display, and distribute that content solely for the purpose of operating the platform.

You are responsible for ensuring that any content you upload is legal and does not infringe on the rights of others.

Video Content

Video content uploaded to Ascend is hosted via a third-party provider (Mux) and is subject to their acceptable use policies. You agree not to upload any illegal, harmful, or otherwise prohibited video content.

Acceptable Use

You agree not to:

  • Abuse, harass, or threaten other users
  • Scrape, crawl, or use automated means to access the platform without permission
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Use the platform for any unlawful purpose
  • Interfere with or disrupt the platform's infrastructure
  • Attempt to gain unauthorized access to other users' accounts or data

Intellectual Property

All platform intellectual property, including but not limited to the software, design, logos, and branding, belongs to WoTo VOF. User-generated content remains the property of the respective users.

Payment Terms

All payments on Ascend are processed securely through Stripe. By subscribing to a paid plan, you agree to the following:

  • Subscriptions are billed on a recurring basis according to the plan you select
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
  • Refunds are handled on a case-by-case basis at our discretion
  • Prices are listed exclusive of VAT; applicable VAT will be added based on your location
  • We reserve the right to change pricing with 30 days' notice
  • A free tier is available with limited features; no payment is required for the free tier
  • If payment fails, we may restrict access to paid features after a grace period of 7 days
  • All prices are listed in euros (EUR) unless otherwise specified

Limitation of Liability

Ascend is provided "as is" without warranties of any kind, either express or implied. To the fullest extent permitted by law, Ascend and WoTo VOF shall not be liable for:

  • Any injuries resulting from training programs created or followed on the platform
  • Advice or guidance provided by coaches using the platform
  • Loss of data beyond reasonable measures taken to protect it
  • Any indirect, incidental, or consequential damages arising from your use of the platform

To the maximum extent permitted by applicable law, the total liability of WoTo VOF for any claims arising from or related to these Terms of Service or your use of Ascend shall not exceed the total amount you have paid to us in the 12 months preceding the claim.

Disclaimers

Ascend does not provide medical, health, or professional advice. All training programs and coaching content on the platform are created by independent coaches and should not be considered a substitute for professional medical advice.

Coaches on the platform are independent professionals and are not employees, agents, or representatives of Ascend or WoTo VOF.

Indemnification

You agree to indemnify and hold harmless WoTo VOF, its officers, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your Content, or your violation of these Terms of Service.

Service Availability

We strive to keep Ascend available at all times, but we do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

Force Majeure

WoTo VOF shall not be liable for any failure or delay in performing its obligations under these Terms of Service due to events beyond its reasonable control, including but not limited to natural disasters, wars, pandemics, government actions, power failures, internet outages, or third-party service failures.

Termination

Either party may terminate this agreement at any time. You may delete your account through the platform settings. We reserve the right to suspend or terminate your account if you violate these Terms of Service, without prior notice.

Right of Withdrawal

Under EU consumer protection law, you have a 14-day right to withdraw from online contracts without giving a reason. However, by creating an account and using Ascend, you request that the Service begins immediately. By doing so, you acknowledge that you lose your right of withdrawal once the Service has been fully performed, in accordance with Article 16(a) of Directive 2011/83/EU.

For paid subscriptions, you may cancel at any time. Cancellation takes effect at the end of the current billing period, and you will retain access until then.

Modification of Service

We reserve the right to modify, suspend, or discontinue any part of Ascend at any time, with or without notice. We will make reasonable efforts to notify users of significant changes to the Service. We shall not be liable for any modification, suspension, or discontinuation of the Service.

Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of The Hague, the Netherlands.

Before initiating legal proceedings, we encourage you to contact us to resolve any disputes amicably. You may also use the European Commission's Online Dispute Resolution platform, available at https://ec.europa.eu/consumers/odr.

Changes to These Terms

We may update these Terms of Service from time to time. For material changes, we will provide at least 30 days' notice via email or a prominent notice on the platform. Your continued use of Ascend after the changes take effect constitutes acceptance of the revised terms.

General Provisions

Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

The failure of WoTo VOF to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and WoTo VOF regarding the use of Ascend, and supersede any prior agreements.

Assignment

WoTo VOF may assign its rights and obligations under these Terms of Service to a third party (for example, in connection with a merger or acquisition). You may not assign your rights or obligations without our prior written consent.
